Thomas is Of Counsel in the firm’s corporate practice specialising in equity capital markets transactions.

Thomas is a senior associate in the corporate division in London. He has extensive experience of advising issuers and investment banks on equity capital markets transactions, including IPOs and secondary fundraisings. He also has experience of advising companies and investors on growth capital fundraisings, public and private M&A transactions and the UK listing and disclosure regime. Thomas has advised clients on transactions across a range of sectors, including banks, energy, consumer, mining, real estate and technology, media and telecommunications.

Thomas spent nine months on secondment in 2017 at Bank of America Securities (formerly Bank of America Merrill Lynch) in London, in the ECM legal team, and previously spent six months on secondment in 2013 at Credit Suisse in London, in the Investment Banking Division legal team.

  • Energean Oil & Gas – $265 million (£211 million) placing to part fund the $750 million initial consideration for its acquisition of Edison Exploration & Production S.p.A. (for the banks)
  • The Unite Group – £1.4 billion acquisition of the entire issued share capital of Liberty Living Group Plc, including a £260 million placing to fund part of the cash consideration (for the issuer)
  • Elementis – $230 million rights issue (£176.4 million) to finance its $500 million acquisition of Mondo Minerals (up to $553 million) (for the issuer)

  • Phoenix Group – £950 million fully underwritten standby rights issue to finance (in part) its acquisition of Standard Life Aberdeen's UK and European life insurance business for a total consideration of £2,930 million (for the banks)
  • The Unite Group – £170 million placing to fund existing development pipeline with two new University partnership transactions (for the issuer)
  • Total Produce – €145 million ($180 million) placing to part-fund its $300 million acquisition of a 45% equity stake in Dole Food Company (for the banks)
  • Phoenix Group – £735 million rights issue to fund its £935 million class 1 acquisition of Abbey Life (for the banks)
