Herbert Smith Freehills is advising AccorHotels on its proposed A$1.2 billion takeover of Mantra Group (ASX: MTR), to be implemented via a scheme of arrangement.

The AccorHotels Group is a global leader in travel and hospitality, and a pioneer in digital technology, offering unique experiences in more than 4,200 hotels, resorts and residences, and in more than 10,000 outstanding private residences worldwide. Mantra is one of Australia’s largest hotel and resort marketers and operators with 127 properties and over 20,000 rooms in hotels, resorts and serviced apartments across Australia, New Zealand, Indonesia and Hawaii.

AccorHotels’ and Mantra’s combined geographic footprint, together with enhanced distribution and systems, would form a favourable base from which AccorHotels can expand further in the region.

Jenny Selby, AccorHotels General Counsel Pacific, heads the internal legal team on the transaction. The Herbert Smith Freehills team is being led by partners Rebecca Maslen-Stannage and Liza Carver, supported by senior associate Malika Chandrasegaran and solicitors Asa Tan and Alice Li.

The real estate aspects of the transaction are being led by partner Christopher Blue, with support from executive counsel, Leone Costigan.

Rebecca Maslen-Stannage said: “We are excited to be working with the dynamic AccorHotels team and advising on this strategic transaction”.

Jenny Selby, AccorHotels’ General Counsel Pacific, said, “We were impressed by the timely expert advice provided by the Herbert Smith Freehills team, led by Rebecca Maslen-Stannage and Liza Carver and capably supported by their teams.”

UBS is acting as financial advisor to AccorHotels, and JLL is acting as commercial advisor. Highbury is acting as financial advisor to Mantra Group, while Baker McKenzie is acting as its legal advisor.
