She advises companies in matters related to the mobility, gaming and energy sectors, among others, with particular emphasis on renewable energies.
Marta's experience includes advising:
- Engie España and Crédit Agricole Assurances, as leaders of the bidding consortium, on the public law and environment aspects related to the acquisition of up to 100% of the share capital of the Spanish company Eolia Renovables, from Alberta Investment Management Corporation and the remaining minority shareholders in Eolia, through a competitive auction process. This is one of the biggest transactions in the history of the renewables sector in Spain. From a public law and environment perspective, this transaction was particularly relevant due to the different degree of development of the assets under its scope and the deep analysis of the regulatory consents required. We have helped the client to understand the portfolio from a regulatory point of view, having into account the new regulatory measures adopted in the energy sector, as well as to value the probabilities of success of the developing assets due to the new environmental regulations recently approved by the different regional governments
- Banco Santander and Haitong Bank, Sucursal de España, on a complex financing transaction, subject to Spanish law and granted to Luxida, a company owned by JZI and Taiga Mistral that operates in the energy sector, for (i) the refinancing of the acquisition of the current portfolio of companies acquired by Luxida with equity; and (ii) the financing of future acquisition of companies. Our team coordinated all the finance and security documents and the negotiation of the borrower's interests with the lenders until the completion of the transaction
- Open Societies on the incorporation of a foundation. In particular, we helped draft the bylaws and other documents required in the incorporation process, solved queries on corporate and public law aspects and helped carry out the different procedures before the public administrations
- a Spanish financial institution, as creditor, on the restructuring of the debt of a Spanish maritime transport company. The transaction is one of the largest restructuring processes currently ongoing in the Spanish market
- a Spanish financial entity on the legal advice related to the disposal of its subordinated debt position in five project finance in favour of an international investment bank
Background
Marta has a Law degree from Universidad Autónoma de Madrid. She also holds a double master´s degree in Legal Practice and International Law from ISDE Law Business School.
She speaks Spanish and English.
